Zurapic / UltraNGX — Terms of Service

0. Who We Are

These Terms of Service ("Terms") govern access to and use of Zurapic and the UltraNGX suite of applications (the "Service"), operated by Zurapic / UltraNGX ("we", "us", "Company"). By creating an account or using the Service, you ("you", "User") agree to be bound by these Terms.

1. Definitions

• "Service" means the Zurapic and UltraNGX web applications, APIs, and any related software, documentation, or content we provide.
• "Account" means a registered user account, whether on the free plan or with an active or trialing paid subscription.
• "Content" means any file, image, document, or other material a User uploads to, creates with, or exports from the Service.
• "Unauthorized Copy" means any copy, mirror, fork, or redistribution of the Service — in whole or in part, including its source code, static assets, or any server-side component — made or hosted without our express written permission.

2. Eligibility & Accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an Account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your Account. Accounts are personal to the individual or single business entity that registered them and may not be shared, sold, or transferred without our written consent.

3. Subscriptions & Billing

The Service can be used free of charge, with limitations (such as a watermark on downloaded files). Full access — including watermark-free downloads and all premium tools — requires either an active paid subscription or a one-time 24-hour access pass, billed and processed through our payment provider (Stripe). Subscription fees, billing cycles, and cancellation terms are as displayed at the time of purchase. Except as required by applicable law (see §12), fees are non-refundable.

4. License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose — creating, editing, and exporting your own Content.

This license does NOT include, and you may not:

• copy, mirror, rehost, or redistribute the Service, or any part of its software, source code, user interface, or server-side components, in any form;
• reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying algorithms, or server-side logic of the Service, except to the limited extent such restriction is prohibited by applicable mandatory law;
• circumvent, disable, bypass, or attempt to interfere with any technical protection, authentication, rate-limiting, or access-control measure we use to protect the Service;
• use any bot, script, scraper, or other automated means to access the Service or its API endpoints outside of normal interactive use by a human through the Service's own interface;
• sublicense, resell, rent, lease, or otherwise make the Service available to any third party who is not an authorized User on your Account;
• remove, obscure, or alter any proprietary notices (copyright, trademark, or other) on or within the Service.

5. Intellectual Property

The Service — including its software, source code, visual design, algorithms, trademarks, and documentation — is and remains the exclusive property of the Company and its licensors, protected by Greek, EU, and international copyright and other intellectual-property laws. Nothing in these Terms transfers any ownership right in the Service to you.

You retain all rights to your own Content. We do not claim ownership of files you upload, create, or export using the Service.

6. Monitoring & Enforcement Technology

To protect the Service and enforce these Terms, we may employ technical measures — which may include, without limitation, digital watermarking, session and usage monitoring, and server-side access controls — to detect, deter, and trace unauthorized copying, redistribution, or misuse of the Service. By using the Service, you acknowledge and consent to the use of such measures.

7. Termination

We may suspend or terminate your Account, without refund, immediately and without prior notice, if we reasonably believe you have violated these Terms — including any unauthorized copying, redistribution, or automated bulk-access of the Service. Termination does not limit any other remedy available to us, including seeking injunctive relief or damages.

8. Copyright Complaints & Takedown Notices

We take copyright seriously, both in protecting our own software and in responding to claims that Content processed through the Service infringes a third party's copyright. 9. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, to the maximum extent permitted by applicable law. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold the Company harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service.

12. EU Consumer Right of Withdrawal

If you are a consumer resident in the European Union, you generally have a 14-day right to withdraw from a distance contract without giving a reason, under Directive 2011/83/EU. However, because the Service is digital content supplied other than on a tangible medium, this right does not apply once performance has begun, provided that you (a) gave your prior express consent to immediate performance, and (b) acknowledged that you thereby lose your right of withdrawal (Article 16(m) of the Directive).

13. Governing Law & Jurisdiction

These Terms are governed by the laws of Greece, without regard to its conflict-of-laws principles. Subject to §12 and the paragraph below, any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Athens, Greece.

If you are a consumer habitually resident in another EU member state, this choice of law does not deprive you of the protection afforded by the mandatory consumer-protection provisions of the law of your country of residence, and you may also bring proceedings in the courts of your own country, under EU rules on jurisdiction in consumer contracts.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes (e.g. by email or an in-app notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of that provision. These Terms constitute the entire agreement between you and the Company regarding the Service.

16. Language

These Terms may be translated into other languages for convenience. In the event of any conflict or inconsistency between the English version and a translated version, the English version shall prevail, except where applicable mandatory local law requires otherwise for consumers in that jurisdiction.
